Enclude’s staff and affiliated consultants work in four registered offices (Netherlands, United States, United Kingdom, and Pakistan) and in project locations across the world, including Sub-Saharan Africa, Asia, Latin America and the Caribbean, Europe and Central Asia.

Enclude’s Capital Advisory Services (CAS) practice, based in London and Washington DC, provides a range of services including fund structuring and capital raising, corporate finance and M&A advisory, and transaction-related offerings such as loan fund servicing, third party due diligence and investor relations. It also provides selected consultancy services, focused on thought-leading developments in inclusive financial services, sustainable business models and social entrepreneurship. In providing these services, the Capital Advisory team is fully integrated with colleagues in Enclude’s Capacity Solutions practice – for purposes of knowledge sharing and developing the transaction pipeline – and also works closely with Enclude’s regional offices and representatives.

CAS clients include emerging markets focused funds, small business and microfinance banks, and companies seeking to provide products and services (such as energy, housing, water, education and health) to the “base of the pyramid.”  Investors include sector-specialist funds, development finance institutions, high net worth individuals, family offices, foundations and other institutions such as pension funds.

We are a regulated business, authorized to conduct corporate finance work in the UK by the FCA.

CAS is seeking a mid-level professional to join its growing core team, which currently numbers 9, mostly based in London.  Initially, this position will be filled under a 6-month contract, with a view to a full-time position upon successful conclusion of this contract. US based candidates who do not already have FINRA Series 7 registration will be expected to pass the exam within 6 months of hire.

Job description

The Associate will be expected to work on specific mandates – both in execution and in development – and more general business building and strengthening of practice infrastructure and systems.  After a brief ramping up period, he or she will be expected to lead the delivery of smaller mandates and to be responsible for building relationships with specified clients and investors.  The Associate will be a primary point of contact for certain foundations, family offices, HNWIs and DFIs.  The Associate must therefore be able to interact confidently with senior managers and non-executives within both client and investor bases and to balance competing demands with keen attention to detail, and a low level of supervision of routine tasks.

Specific Responsibilities: 

  • Transaction Execution
    • Mandate/transaction execution in all phases, from identification and pitch to design and structuring, marketing, negotiation and closing;
    • Leadership of smaller mandates;
    • Participation in or responsibility for:
      • Investor calls / meetings
      • Maintaining investor databases and ensuring investor communication is tracked
      • Preparation of transaction materials such as budgets, marketing and documentation
      • Carrying out of due diligence, data room establishment, roadshow arrangements
      • Developing fund/company business plans and building financial models
      • Term sheet and document negotiation
      • Managing junior staff
      • Managing external parties such as legal counsel
    • Special projects to be defined and assigned by reporting manager
  • Business Building
    • Participation in weekly CAS pipeline and business building calls
    • Business building through own networks and cultivation of Enclude client and investor networks
    • Identification of business opportunities through maintenance of relations with Enclude’s capacity solutions practices
    • Contribution to the team’s efforts with respect to product innovation and transaction design
    • Research, drafting, editing and formatting of transaction proposals, including development of budgets in competitive bidding situations as well as unsolicited sales proposals
  • Development of Tools for the CAS Practice
    • Origination and contribution to materials, processes and tools that will contribute to the growth of the practice.  These may include marketing materials, template financial models, or other tools to improve efficiency, knowledge management and marketing efforts.
    • Work with colleagues across Enclude to broaden the knowledge of CAS products and services, and assist with the creation of a “CAS-literate” cadre of consultants within the firm’s regional offices.
  • Work with Other Practices
    • The Associate may have the opportunity from time to time to work with Enclude’s capacity solutions practices on proposals or mandates where combined teams or inputs are required, or where capital advisory is part of a broader capacity building mandate.

Qualifications:

  • Essential:
    • At least 5 years’ experience with at least 3 years’ experience in a transaction environment
    • Experience in managing transaction processes independently
    • Significant experience of financial modeling
    • Demonstrated interest in inclusive finance and/or related investment areas such as “base of the pyramid” products and services, and intention to build a long-term career in impact investing and/or inclusive finance
    • Experience working in a developing country or in an international development context
    • An appetite for the sometimes fast-moving and multi-tasking environment of a transaction team, including willingness to put in potentially long hours around deadlines
    • Ability to deliver consistently high levels of accuracy, efficiency and follow-through
    • Excellent written and verbal English communication skills
    • Team orientation and motivation
    • Strong initiative and ability to work independently
    • Ability to exercise independent judgment and proactively ask questions as needed
    • Willingness to travel internationally on short-term assignments
  • Preferred:
    • Prior experience in M&A
    • Ability to work in at least one non-English language of our overseas practice areas
